1. General Terms
Welcome to Vexovian Overseas. By accessing our website, requesting quotations, or placing orders for our products — including but not limited to cocopeat, coco chips, customized growing media, and cane jaggery — you agree to be bound by these Terms and Conditions.
These terms apply to all users, customers, and business partners engaging with Vexovian Overseas for product inquiries, sample requests, and commercial orders. We reserve the right to update or modify these terms at any time without prior notice. Continued use of our services constitutes acceptance of the revised terms.
All product descriptions, specifications, and pricing displayed on this website are subject to change without notice. Images are for illustrative purposes only and may not represent the exact appearance of the delivered product.
2. Orders & Quotations
All orders are subject to acceptance and confirmation by Vexovian Overseas. A quotation provided by us does not constitute a binding contract until a formal Purchase Order (PO) is issued by the buyer and acknowledged by our sales team.
- Quotations are valid for 30 days from the date of issue unless otherwise specified.
- Minimum Order Quantity (MOQ) applies for all export orders. Standard MOQ for cocopeat is 1 x 20ft FCL container unless otherwise negotiated.
- Custom blends, private labeling, and OEM packaging require a minimum commitment and may be subject to additional lead times.
- Sample orders are available for evaluation purposes and are billed separately at prevailing sample rates plus shipping.
- We reserve the right to refuse or cancel any order for reasons including but not limited to product unavailability, pricing errors, or suspected fraudulent activity.
3. Pricing & Payment
All prices quoted are in USD (United States Dollars) unless otherwise agreed in writing. Prices are based on Incoterms 2020 and exclude applicable taxes, duties, insurance, and freight unless explicitly stated as DDP (Delivered Duty Paid).
- Payment Terms: Standard terms are 50% advance payment upon order confirmation and 50% against scanned copy of Bill of Lading (BL). Letter of Credit (L/C) at sight is accepted for orders above USD 25,000.
- Bank Charges: All bank transfer charges, including intermediary bank fees, are to be borne by the buyer unless otherwise agreed.
- Currency Fluctuation: Prices are fixed at the time of order confirmation. Any significant currency fluctuation beyond 5% may be subject to renegotiation.
- Taxes & Duties: The buyer is responsible for all import duties, customs clearance fees, and local taxes in the destination country.
4. Shipping & Delivery
Vexovian Overseas partners with reputable freight forwarders and shipping lines to ensure timely delivery. However, delivery timelines are estimates and not guaranteed commitments.
- Lead Time: Standard production and dispatch lead time is 2–4 weeks from the date of advance payment confirmation, subject to order volume and customization requirements.
- Shipping Mode: Default shipping is via sea freight (FCL/LCL). Air freight is available upon request at additional cost.
- Incoterms: Default terms are FOB (Free On Board) Mundra Port, India. CIF, CNF, and DDP terms are available upon request.
- Delivery Delays: We are not liable for delays caused by factors beyond our control, including but not limited to port congestion, customs inspections, weather conditions, pandemics, or force majeure events.
- Inspection: Buyers are encouraged to arrange third-party inspection (SGS, Bureau Veritas, etc.) before shipment. Post-shipment claims regarding quantity or quality will only be considered if supported by a surveyor's report at the destination port.
5. Returns, Cancellations & Refunds
Given the perishable and bulk nature of our agricultural products, returns are handled on a case-by-case basis.
- Order Cancellation: Orders may be cancelled within 7 days of confirmation without penalty, provided production has not commenced. Cancellations after production commencement are subject to a 30% restocking/processing fee.
- Quality Claims: Any quality-related claim must be submitted in writing with photographic evidence and a third-party inspection report within 15 days of delivery at the destination port.
- Refund Policy: Approved refunds will be processed within 30 business days via the original payment method. Bank charges on refunds are borne by the buyer.
- Non-Returnable Items: Custom blends, private-label products, and opened/sampled bulk shipments are non-returnable unless defective.
6. Liability & Disclaimer
Vexovian Overseas strives to ensure the accuracy of all product information, technical specifications, and usage guidelines provided on this website and in accompanying documentation. However, we do not guarantee that the information is entirely error-free or complete.
- Product Use: Our growing media products are agricultural inputs. Results may vary based on climate, water quality, crop type, and cultivation practices. We recommend conducting small-scale trials before full commercial application.
- Limitation of Liability: To the maximum extent permitted by law, Vexovian Overseas shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our products or services.
- Force Majeure: Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, war, strikes, government actions, or pandemics.
- Intellectual Property: All content on this website, including text, images, logos, and product descriptions, is the property of Vexovian Overseas and protected by applicable copyright and trademark laws.
7. Governing Law & Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of India.
- Any dispute arising out of or in connection with these terms shall first be attempted to be resolved through good-faith negotiation between the parties.
- If negotiation fails, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996 of India. The seat of arbitration shall be Mumbai, India.
- The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement. The language of arbitration shall be English.
- The decision of the arbitrator shall be final and binding on both parties.
